Your Idaho contractor licence when you sell

Your Idaho contractor licence does not transfer with your business. Plumbing, HVAC and electrical certificates are issued to a person, not a company, and Idaho law says plainly that they are not transferable. So every sale of a licensed trade business in the Treasure Valley needs a plan for who holds the licence on the morning after closing.

That single fact shapes more deals here than anything else I see, and almost nobody writes about it.

Which licences are personal, and where it says so

The company licence is not really a company licence either. Idaho ties it to a named individual: a plumbing contractor certificate holder may represent one firm at a time, an electrical contractor must designate a supervising electrician, and an HVAC entity must employ an active licensed journeyman. Remove that person from the business and the business cannot legally do the work, whatever the purchase agreement says.

So what actually happens at closing?

There are only three real answers, and it is worth knowing which one you are choosing before a buyer raises it.

• The buyer holds the licence. Cleanest, and rare, because it means the buyer already carries an Idaho certificate in that trade.
• A licensed employee becomes the qualifier. The usual answer. It requires that person to stay, which makes their retention agreement part of the deal rather than an afterthought.
• You stay on as the qualifier for a defined period. Common in a transition, and the reason a “clean break at closing” is sometimes not available in a licensed trade. It is worth pricing that time, not donating it.

What else does not travel with the company

Two more that surprise sellers.

A contractor bond does not carry over: HVAC and specialty contractors post a $2,000 compliance bond that belongs to the licence holder. And Idaho Code 63-3628 makes the buyer of a business responsible for asking the State Tax Commission what sales and use tax is owed, and for withholding it from the purchase price until the Commission issues a clearance. A buyer who skips that step can be held personally liable, which is why a careful buyer will ask for it and why it is not a sign of mistrust.

How many businesses does this touch here?

More than most people guess. In 2024 Ada and Canyon counties had 422 plumbing and heating contractor establishments, 358 electrical contractor establishments, and 642 landscaping establishments, counting only employers with payroll. Ada County alone went from 172 plumbing and heating establishments in 2019 to 259 in 2024, a rise of about half in five years.

Most of those are owned by one person. When that person retires, the licence retires with them unless somebody planned otherwise.

What I would do two years out

If you own a licensed trade business in the Treasure Valley and expect to sell at some point, the single most valuable thing you can do is get somebody other than yourself licensed to qualify the company. It widens the pool of buyers who can actually close, it shortens the transition you are obliged to serve, and it raises what the business is worth to every buyer, not just to me.
